These Terms and Conditions apply to all services provided by Lily Arundell Design ("LA," "I," "me," or "my") to the client ("Client," "you," or "your"). By engaging my services, you agree to be bound by these terms.
1. Services and Scope of Work
1.1. Project Agreement: All services, including graphic design, websites, digital marketing, and illustration, are outlined in a formal proposal or quotation. This document, once signed by the Client, serves as the definitive contract.
1.2. Changes and Revisions: The initial project agreement covers a specific scope of work. Any requests for additional work or changes after a project phase has been approved are subject to an additional quotation and may affect the project timeline and cost.
1.3. Revisions: I will make a reasonable number of revisions to the project until you are satisfied. However, this is limited to a maximum of two major revisions per project phase. I reserve the right to define what constitutes a "major revision." Additional revisions will be charged at my standard hourly rate.
1.4. Client Responsibilities: You agree to provide all necessary information, content (text, images, etc.), and feedback in a timely manner. Delays in receiving this information may impact the project schedule and could result in additional charges.
1.5. Refusal of Service: I reserve the right to refuse work on any project that I deem to be unlawful, inappropriate, or harmful, including but not limited to content that is harassing, violent, or infringes on copyright.
2. Payments and Fees
2.1. Quotations: All quotations are valid for 30 days from the date of issue.
2.2. Payment Schedule:
- For graphic design projects: A non-refundable upfront payment of 50% of the total fee is required upon the signing of the project agreement and before any work begins. The remaining 50% is due upon project completion.
- For website projects: The first 50% of the fee is due upon your approval and sign-off of the website's homepage design. The remaining 50% and any annual hosting fees are due upon project completion and before the website goes live.
2.3. Print Materials: All projects involving print materials require full payment prior to sending files to an external print company to cover production costs.
2.4. Late Payments: All invoices are due for payment within 7 calendar days of the invoice date. If an invoice is not paid within this period, I reserve the right to:
- Halt all further work on the project.
- Charge a late fee of 8% per day on the outstanding balance, starting from the 8th day after the invoice date.
- Remove any completed work from the internet or other platforms until the payment is received in full.
2.5. Project Cancellation: If a project is canceled by the Client before completion, I reserve the right to invoice for up to 100% of the total project cost. The exact charge will be determined based on the amount of work completed at the time of cancellation.
2.6. Third-Party Payments: If you fail to pay, I reserve the right to invoice the "ultimate client" (e.g., the end-user or owner of the product) for all outstanding fees. You are responsible for notifying all relevant parties of this clause.3. Intellectual Property and Copyright
3.1. Ownership of Work: All preliminary concepts, sketches, drafts, electronic files, and unused designs remain my property. The final, approved design becomes your property only upon full and final payment.
3.2. Unused Concepts: If you do not make the final payment, all designs and concepts remain my property. I reserve the right to use, modify, or sell these concepts to other clients or for my own promotional purposes.
3.3. License and Credit:
- I retain the right to place a small, unobtrusive credit link at the bottom of a completed website.
- I also reserve the right to display and link to the completed project as part of my portfolio and to write about the project for marketing or professional purposes. Please notify me in advance if this is not acceptable.
3.4. Exclusivity: If you require me to abstain from working with a competing brand, an "exclusion fee" must be negotiated and agreed upon in the project proposal. Unless such a fee is paid, I reserve the right to work for competing brands.4. Website-Specific Terms
4.1. Browser Compatibility: All websites are developed to function across major web browsers and devices (desktop, tablet, mobile). However, I cannot guarantee complete or long-term functionality due to constant updates and changes by browser vendors. I am not responsible for compatibility issues with outdated browser software.
4.2. Hosting and Domain Names:
- I may offer domain registration and hosting services through a third-party provider. These services are subject to the third party's terms and conditions, which you agree to abide by.
- You are responsible for ensuring you have legal title to any domain name you wish to use. I am not liable for any claims resulting from your choice of domain name.
- Support for domain, hosting, and email services is provided by the third-party provider.
- Domain and hosting contract lengths are 12 months unless otherwise agreed. These fees are non-refundable.5. General Provisions
5.1. Confidentiality: Any confidential information you provide must be clearly marked as "confidential." I agree to treat such information with appropriate discretion.
5.2. Illness or Unforeseen Circumstances: In the event that I am unable to complete the project due to unforeseen circumstances, a portion of the payment will be refunded based on the work completed. In most cases, a full refund will be issued.
5.3. Jurisdiction: This agreement is governed by English Law. Any disputes shall be settled in an English court. If legal representation is required to resolve a dispute, all costs incurred by me will be claimed from you in addition to late payment fees.
5.4. Entire Agreement: These Terms and Conditions take precedence over any terms you may provide, even if they contain a similar clause. By accepting a quotation or making a payment, you acknowledge that you have read, understood, and agreed to be legally bound by these terms. I reserve the right to update these terms at any time.
5.5. Complaints: Any complaints must be reported as soon as they arise. Complaints cannot be considered in retrospect.
