1. Definitions
In these terms and conditions, "the Designer" refers to Lily Arundell. "The Client" refers to any person, company, or entity that enters into a contract for services with the Designer.
2. Quotations and Pricing
• All quotations provided by Lily Arundell are valid for 30 days from the date of issue.
• The total price provided is an estimate and may be subject to change if the project scope increases or if additional work is requested.
• Any changes to the project must be agreed upon in writing.
• Expenses: The estimated price does not include third-party costs such as font licenses, stock photography, or printing fees. These will be quoted separately and must be cleared by the client before purchase.
• Revisions: Unless otherwise agreed for Design Day bookings, project quotes include up to two rounds of minor revisions. Further revisions or significant changes to the original brief will be charged at my standard hourly rate.
• VAT: Lily Arundell is not currently registered for VAT. Therefore, VAT is not charged on any services, and the total price quoted is the final amount payable.
3. Payment Structure
• Graphic Design Projects: A 50% deposit is required before work commences. The remaining 50% balance is due upon project completion.
• Website Projects: The first 50% is invoiced following the client’s sign-off of the homepage design. The second 50% and any annual hosting fees are invoiced upon project completion.
• Payment Plans: Payment plans are available for certain projects. Please get in touch to discuss this option before the project begins.
• Due Date: All payments are due within 7 days of the invoice date.
• Late Payments: The Designer reserves the right to charge statutory interest on late payments at a rate of 8% above the Bank of England base rate per year, plus compensation for debt recovery costs, under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Cancellations and Rescheduling
• Notice Period: Cancellations or requests to reschedule a Full or Half Design Day booking must be made at least 48 hours before the scheduled start time.
• Late Cancellation Fees: Cancellations made within 48 hours of the booking will incur a fee equal to 50% of the total booking cost.
• Same-Day Cancellations: If a booking is cancelled on the day it is scheduled to take place, the full fee (100%) will be payable and any deposits paid will be non-refundable.
• Written Notice: All cancellations must be provided in writing via email to be considered valid.
• Working Hours: A "Full Design Day" consists of 7 hours of active design work (e.g. 09:00 to 17:00 with a one hour break). Any work requested outside of these hours will be subject to a separate agreement or overtime rate.
5. Client Responsibilities
• Assets: All necessary assets, including copy, images, and brand guidelines, must be provided at least 24 hours before a Design Day or project start date.
• Feedback: The client must be available for feedback throughout the duration of a project. For Full Design Day bookings, prompt feedback is essential to ensure the project stays on schedule.
• Delays: Any delays caused by a lack of client response or missing materials may result in the project remaining unfinished. In such cases, the full agreed rate is still applicable.
• Project Dormancy: If a client fails to provide necessary assets or feedback for a period of 30 days without prior agreement, the project will be considered "dormant". To restart a dormant project, a restart fee of £150 or 15% of the remaining project value (whichever is greater) may apply, and the project will be rescheduled based on the Designer's current availability.
6. Intellectual Property
• Transfer of Rights: Full copyright and intellectual property rights for the final designs will transfer to the client only upon receipt of full and final payment.
• Usage Rights: Until the final invoice is settled, the client has no legal right to use, publish, or distribute any of the work created during the project.
• Self-Promotion: Lily Arundell retains the right to use all work for promotional and portfolio purposes unless a non-disclosure agreement (NDA) has been signed in advance.
7. Liability and Proofreading
• Final Approval: Final proofreading is the sole responsibility of the client. Lily Arundell will not be held liable for any errors (typographical, grammatical, or layout) once the client has provided final approval for print or digital publication.
• Loss of Profit: Lily Arundell shall not be liable for any indirect or consequential loss of profit or business arising from the delivery of the services.
• Website Compatibility: The Designer ensures that websites are optimised for the most recent versions of major browsers (Chrome, Safari, Firefox, and Edge). Compatibility with legacy browsers or outdated operating systems is not guaranteed.
8. Termination
Either party may terminate the project at any time by providing written notice.
• Upon termination by the Client, any deposits paid shall be non-refundable. The Designer will invoice for all work completed up to the date of termination that exceeds the deposit amount.
• Any materials or files created will remain the property of Lily Arundell until that final invoice is settled.
9. Governing Law
These terms and conditions are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
